Terms and Conditions of Sale

These Terms and Conditions of Sale (T&Cs) govern the contractual relationship between ORDIAZ and its clients in the context of IT managed services and related IT support services.

  1. Purpose
    ORDIAZ provides IT support, maintenance, managed services, and IT consulting to businesses.

  2. Acceptance of the Terms
    Any order or signed quotation implies full and unconditional acceptance of these Terms and Conditions of Sale.

  3. Services
    The services offered are described on the website and/or in the quotations provided to the client. ORDIAZ undertakes to use all reasonable means to deliver high-quality services.

  4. Pricing
    Prices are expressed in euros (€) and may be invoiced in the following forms:

  • Fixed-fee services

  • Monthly subscriptions

  • One-off interventions

  1. Payment Terms
    Payment terms are specified in the quotation or invoice. Unless otherwise stated, invoices are payable upon receipt.

  2. Late Payment
    Any late payment may result in:

  • The application of late payment penalties in accordance with applicable regulations

  • The suspension of services until full payment is received

  1. Client Obligations
    The client agrees to:

  • Provide all necessary access to systems and information

  • Collaborate with ORDIAZ throughout the service delivery

  • Follow technical recommendations provided by ORDIAZ

  1. Liability
    ORDIAZ shall not be held liable for indirect damages or for any damages resulting from the misuse of systems by the client. In any event, ORDIAZ’s liability is limited to the amount paid by the client for the services concerned.

  2. Confidentiality
    ORDIAZ undertakes to keep confidential all information exchanged with the client during the provision of services.

  3. Termination
    Either party may terminate the collaboration in accordance with the conditions defined in the contract or quotation.

  4. Governing Law
    These Terms and Conditions are governed by French law.

  5. Dispute Resolution
    In the event of a dispute, the parties shall seek an amicable resolution before initiating any legal proceedings. Failing this, the competent courts within the jurisdiction of ORDIAZ’s registered office shall have exclusive authority.
